MEMBERSHIP AGREEMENT

Article 1 Name and Location

The name and location of the Gym are set forth at the end of this document. (hereinafter referred to as “the Gym”).

Article 2 Operation

The operation and management of the Studio (including the procedures for determining whether to grant or revoke membership, the collection of membership fees and other charges, and the establishment, revision or termination of the Membership Agreement) shall be conducted by THE CONCEPT Co.

Article 3 Purpose

The purpose of the Club is to enable Members to enjoy a dignified Club life by using the facilities of the Club to maintain and improve their physical and mental health, and to promote friendship among Members.

Article 4. Qualifications for Membership

Those eligible for membership in the Studio shall be those who meet the requirements for each category of membership set forth separately, who agree with the purpose of the Club, and who accept these Bylaws (hereinafter referred to as “Members”). (Those with tattoos, gang members, those who may interfere with the smooth running of the studio, or those otherwise deemed inappropriate by the studio are not eligible for membership. In addition, even after becoming a member, the member will be asked to resign from membership upon discovery of any of these events.

Article 5. Types of Members

The types of members of the Studio and their respective requirements are specified separately.

Article 6 Admission Procedures

Members who wish to join the Studio must complete the prescribed admission procedures, obtain approval from the Studio, and pay the membership fee and other admission fees as specified. In addition, the Studio may require a medical certificate if necessary. If the applicant is a minor, he/she and his/her parent or guardian must apply for membership jointly. In this case, the parent or guardian shall be jointly and severally liable for all obligations under the Terms and Conditions as if he/she were a member of the Studio, and agrees to bear the risks and hold the Studio harmless from any liability in accordance with Article 20 of the Terms and Conditions.

Article 7 Membership Fee

The Member shall pay the entrance fee to the Club in the manner prescribed by the Studio. The Membership Fee is a necessary expense for the conclusion and performance of the Membership Agreement, and once paid, the Membership Fee is non-refundable.

Article 8. Suspension and Expulsion

The Studio may suspend or expel a Member if, in the opinion of the Studio, the Member is guilty of any of the following

(i) The Member is more than two (2) months in arrears in the payment of the Membership Fee and any other fees due to the Studio.
(In the event of termination, the Member shall still be required to pay all dues and other charges incurred prior to termination).
(ii) If a Member intentionally damages the facilities of the Studio.
(iii) If a Member violates these Terms of Service or any other rules and regulations established by the Studio.
(iv) If a member brings the Studio into disrepute or disrupts the order of the Studio.
(v) If it is found that a false statement has been recorded on the initiation fee.
(vi) If a member is found to have committed any delinquent act that is deemed detrimental to his or her dignity as a member.
(vii) If a member is afflicted with a communicable disease or any other disease that may be contagious or infectious to others.
(viii) If a Member’s body odor or bad breath is deemed by the facility to be offensive to other patrons in an enclosed area.
(ix) If a Member fails to follow the reasonable instructions and directions of the Studio.
(x) If the Studio otherwise deems the Member to be unsuitable for the Studio in the light of socially accepted standards.

Article 9 LOSS OF MEMBERSHIP

A member shall be disqualified upon resignation, expulsion, death, or declaration of disappearance. If a member is disqualified, the member must immediately return any items loaned by the studio.

Article 10. Prohibition on Transfer of Membership

Members may not transfer their membership to another person (including by inheritance).

Article 11. Payment of Membership Fees

The member shall pay the membership fee and other fees as prescribed by the Studio in the prescribed manner. The type, amount, due date and method of payment of the membership fee, etc. shall be determined by the Club. (Monthly Members shall be required to pay the membership fee even if they do not actually use the facilities of the Club as long as they are Members of the Studio).

Article 12 Facility Usage Fees

(i) If a Member uses the Studio, the Member shall pay the Facility Usage Fees set out separately for each Facility.
(ii) Use of Personal Training
The Studio shall be operated in accordance with the following guidelines

(1) Fees and hours of operation are set forth separately.
(2) Use of personal training, private rooms, stretch and massage rooms and related services is by reservation only.

(1) Reservations for members may be made through the website, by phone, or at the facility.
(2) Please contact us during business hours the day before the reserved date and time for any changes or cancellations.
Any cancellation or change of time after the business hours of the day before the reserved day will be counted as actual use of the service.
Members will not be allowed to change the end time of the training session if they arrive late for the reserved time. In addition, any time used after the reserved time will be counted as actual usage regardless of the time used.
For the sake of safety management based on the training frequency advocated by THE CONCEPT Co.

Article 13. Recess

Members may take a self-sabbatical from the following month by submitting the required self-sabbatical notice to the studio by the 10th of each month (or the next business day if the 10th is a holiday). If the suspension is not submitted by the 10th of the following month, it will be treated as the following month.
The period of self-suspension is from one to six months, and the self-suspension fee is 1,100 yen per month including tax. If a member wishes to extend the period of self-suspension until the 10th day of the last month of self-suspension, the member may do so by submitting another self-suspension form. (Maximum of one (1) consecutive year per self-suspension.

Article 14 Resignation from Membership

A member may resign from membership effective at the end of the following month by submitting the required resignation form to the club by the 10th day of the month (or the next business day if the 10th day is a holiday). The obligation to pay dues will continue until the notice of resignation is received by the club. The cancellation process must be completed by the 10th day of the month in which the member wishes to cancel, in which case the membership will be canceled at the end of that month.
If the cancellation is made after the 11th of the month, the membership will be canceled as of the last day of the month.

Article 15 Change of Membership Type

Members may change their membership type from the following month by submitting the designated change form to the Studio by the 10th of each month (or the next business day if the 10th is a holiday).

Article 16. Closing of the facility

As a general rule, the Studio is closed on the days indicated on the attached sheet. In addition to regular holidays and seasonal closings, the Studio may be closed for repair of equipment, venue maintenance, or other reasons. In general, notice of such closures will be posted at least two weeks in advance. However, in the event of an emergency, such as an urgent need for construction work to ensure the safety of the facilities, all or part of the facilities may be closed without prior notice.

Article 17. Closure of Facilities, Restriction of Use, etc.

The Club may close or temporarily close all or part of the gym for the following reasons
(i) When the operation of the Studio is hindered by typhoons or other abnormal weather conditions, wind, water or fire disasters, or accidents near earthquakes, etc.
(ii) When remodeling or repair work of the facilities is being carried out.
(iii) When there is a significant change in the legal system, administrative policies, social conditions or economic situation.
(iv) When there are circumstances that affect operations, such as the termination of authority to use the facility
(v) When it is deemed necessary to close or temporarily close the facility for other reasons.
The Studio may use its facilities to hold exercise classes, etc. for the general public by posting a notice in the building in advance. In principle, Members may not use the facilities during such schools. In this case, no compensation will be paid to the Member.
When various tournaments or special events are held, the use of some or all of the facilities may be restricted. In such cases, the provisions for holding a general school as described in the previous section shall apply accordingly.

Article 18. Use by Members and Accidents

Members shall use the facilities of the studio in cooperation with other members at their own risk and responsibility. The same applies to any disputes between Members inside or outside the Club. Members shall not engage in any unskilled or dangerous behavior in the Studio. Members shall not instruct other Users for compensation without the prior written consent of the Studio.

Article 19 Changes

The Member shall promptly notify the Studio in writing of any change of address, contact information, or other information provided on the application form.

Article 20 Revision of various fees

The Studio may revise the fees and expenses to be paid by the Member in accordance with the Terms and Conditions, taking into account changes in social and economic conditions. In this case, the Studio shall notify the Member at least one (1) month prior to the revision date by posting a notice in the Studio’s facilities and on the Company’s website.

Article 21. Detailed regulations

Any matters not provided for in these Terms and Conditions and any other detailed regulations necessary for the conduct of the Studio’s business shall be determined by the Studio.

Article 22 Revision

Any amendment or modification of this Agreement shall be made by the Studio and shall be effective for all Members enrolled at the time of such amendment or modification. In the event of any revision or amendment to the Terms and Conditions, the Studio shall notify Members of such revision or amendment at least one (1) month prior to the revision date by posting a notice on the Studio’s website and by posting a notice at the Studio’s facilities.

Article 23 Supplementary provisions

This Agreement shall enter into force on June 1, 2022.
